Terms of Service
These Terms govern your access to and use of OneLence services.
Effective date: March 20, 2026. Last updated: October 21, 2026.
Please read these Terms of Service ("Terms") carefully before using OneLence. By accessing or using the service, you agree to be bound by these Terms.
1. Parties and Scope
These Terms are between you (or the entity you represent) and Crelora GmbH (“Crelora”), provider of OneLence (“we”, “us”, “our”). They apply to your use of our websites, applications, APIs, and related services under the OneLence brand.
Crelora GmbH
Ernst-Thälmann-Straße 41
06686 Lützen, Germany
Commercial register: HRB 35614, Amtsgericht Stendal
VAT identification number: DE453924952
Business customers only. OneLence is offered exclusively to businesses, meaning natural or legal persons acting in the exercise of their trade, business or profession (entrepreneurs within the meaning of § 14 of the German Civil Code, BGB). It is not offered to consumers. By creating an account or starting a subscription, you confirm that you act as a business. Statutory withdrawal rights for consumers therefore do not apply.
2. Eligibility and Account Responsibility
You must be legally able to enter into a binding agreement. You are responsible for maintaining the confidentiality of account credentials, all activity under your account, and ensuring that account information remains accurate and up to date.
Seats are for named individuals and may not be shared. You may not create several accounts or workspaces to avoid plan limits, fees or trial rules.
3. Service Access and Availability
We may modify, update, suspend, or discontinue all or part of the service at any time, including for maintenance, improvements, compliance, or security reasons. We will use commercially reasonable efforts to maintain service reliability. If we discontinue a paid feature that is essential to your plan during a period you have already paid for, we will refund the fees for the unused part of that period.
The service relies on third-party infrastructure and on data from platforms you connect, such as ad platforms, search consoles and AI services. Their availability, data and terms are outside our control, and features that depend on them may change or stop working when they change.
4. Acceptable Use
You agree not to misuse the service. This includes, without limitation:
- Violating applicable laws, regulations, or third-party rights.
- Attempting unauthorized access to systems or data.
- Uploading malicious code or interfering with platform integrity.
- Using the service to distribute unlawful, fraudulent, or abusive content.
- Reverse engineering the service except where legally permitted.
- Creating multiple accounts or trials, or using false or third-party identity or payment details.
- Exceeding usage limits or API rate limits, or circumventing credit, quota or seat limits.
- Reselling, sublicensing or providing the service to third parties without our written consent.
- Using the service, its outputs or its API to build a competing product, or scraping it by automated means.
5. Suspension
We may suspend or restrict access to all or part of the service, for your whole account or for individual users or workspaces, if:
- you breach these Terms, in particular section 4 or 10;
- there are concrete indications of fraud, payment abuse or misuse of the service;
- your use creates a security risk or risks harm to us, other customers or third parties; or
- we are required to do so by law or by a public authority.
Where reasonable, we will notify you in advance and give you an opportunity to remedy the issue. We lift the suspension once the reason for it no longer applies. Fees remain due during a suspension caused by your breach.
6. Customer Data and Content
You retain ownership of data and content you submit to the service. You grant us a limited license to host, process, transmit, and display such data solely to provide, secure, and improve the service, and to comply with legal obligations.
7. Your legal and privacy obligations (end users and third-party properties)
Where you use OneLence to collect, store, analyse, or otherwise process personal data relating to end users, website visitors, customers, or other third parties (including on sites or apps you control), you are responsible for compliance with applicable laws, including data protection, e-privacy, direct marketing, and consumer rules. Without limitation, you are responsible for: providing appropriate privacy notices; establishing a lawful basis (including obtaining consent where required); not collecting or submitting unnecessary personal data or special categories of data without a valid legal basis and our prior agreement where needed; responding to requests from data subjects whose data you control; and ensuring your use of the service aligns with your own policies and contracts.
Unless we expressly agree otherwise in writing, we process such data as a processor acting on your instructions in providing the service, while we remain responsible as controller for our own processing (e.g. account administration, billing, security, fraud prevention, and improvement of our platform as described in our Privacy Policy). Our Data Processing Agreement forms part of these Terms and governs that processing.
You represent and warrant that you have all rights and authority necessary to provide such data to the service and that doing so does not violate applicable law or third-party rights.
8. Free Trial
We may offer a free trial of a paid plan. The trial length is shown when you sign up. A valid payment method is required to start a trial. Each business may use one free trial only, whatever the number of accounts, workspaces or payment methods.
Unless you cancel before the trial ends, your subscription automatically converts into the paid plan you selected at the end of the trial, and your payment method is charged the price shown at sign-up. You can cancel at any time during the trial in the billing settings, and you will not be charged. We may end or refuse a trial if we have concrete indications that these trial rules are being circumvented.
9. Fees, Renewal, and Cancellation
Paid features are subject to the pricing and billing terms shown at purchase or in your subscription plan. Fees are charged in advance for each billing period (monthly or yearly) through our payment provider, Stripe, or, for subscriptions purchased through the Shopify App Store, through Shopify. Fees are exclusive of taxes. You are responsible for applicable taxes, duties, or similar governmental charges.
- Automatic renewal: subscriptions renew automatically for the same billing period unless cancelled before the end of the current period.
- Cancellation: you can cancel at any time in the billing settings. Cancellation takes effect at the end of the current billing period, and you keep access until then.
- No refunds for partial periods: fees already paid are not refunded for unused time, unused seats, credits or limits, or downgrades during a billing period, unless these Terms or mandatory law provide otherwise.
- Credits: usage credits included in a plan or purchased separately expire as shown in the product, have no cash value and are not refundable or transferable.
- Price changes: we will notify you of price changes by email at least 30 days before they apply to your next billing period. If you do not agree, you can cancel before the change takes effect.
10. Failed Payments and Chargebacks
If a payment fails, we may retry it and ask you to update your payment method. If the amount remains unpaid 14 days after we notify you, we may suspend access until it is paid.
If you have a concern about a charge, please contact us at hello@onelence.com before contacting your bank or card issuer. If you initiate a chargeback or payment dispute for a charge that was properly made under these Terms, this is a breach of these Terms. We may then suspend your account until the dispute is resolved, contest the dispute with the evidence available to us, and require you to reimburse the disputed amount together with the dispute fees we incur.
11. Intellectual Property
The service, including software, branding, and documentation, is owned by us or our licensors and protected by applicable intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
12. Third-Party Services
The service may contain integrations or links to third-party products. We do not control and are not responsible for those services, their availability, content, or practices. Your use of third-party services is governed by their own terms.
13. Insights, Recommendations, and AI Output
OneLence provides analyses, decisions, recommendations, and AI-generated content based on the data available to it, which may be incomplete or delayed. They are meant to support your decisions, not replace them. You remain responsible for the marketing, budget and business decisions you make and for reviewing AI-generated content before you use it. We do not guarantee any particular result, such as revenue, traffic, rankings, conversions, or visibility in search engines or AI assistants.
14. Warranties
We provide the service with the functionality described in the product and its documentation at the time. Statutory warranty rights apply, subject to section 15. We do not warrant that the service will be uninterrupted or error-free, or that it will meet requirements you have not agreed with us.
15. Limitation of Liability
We are liable without limitation for damage caused intentionally or through gross negligence, for injury to life, body or health, under the German Product Liability Act, and to the extent we have given a guarantee.
For damage caused by slight negligence, we are liable only for breach of an essential contractual obligation, meaning an obligation whose fulfilment makes proper performance of the contract possible in the first place and on whose fulfilment you may regularly rely. In that case our liability is limited to the damage that was foreseeable and typical for this type of contract when the contract was concluded, and in total to the fees you paid for the service in the 12 months before the event giving rise to the claim. Otherwise, liability for slight negligence is excluded.
For loss of data, we are liable only for the effort that would have been required to restore it if you had backed it up regularly in line with its importance. These limitations also apply in favour of our employees, representatives and agents.
16. Force Majeure
We are not responsible for failure or delay in performance caused by events beyond our reasonable control, including natural disasters, pandemics, war, terrorism, strikes, actions of public authorities, large-scale cyberattacks, failures of the internet or of electricity or telecommunications networks, and outages of hosting, infrastructure, or AI providers that we could not reasonably avoid. Our obligations are suspended for the duration of the event. If it lasts more than 30 days, either party may terminate the affected subscription, and we will refund fees paid for the period not provided.
17. Indemnification
You agree to defend, indemnify, and hold harmless Crelora GmbH and its affiliates, officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your misuse of the service, your content, your violation of these Terms or applicable law, or your processing of personal data of end users or other third parties in connection with the service (including failure to obtain required consents or lawful bases, or to meet transparency or data-subject obligations), to the extent you are responsible for them.
18. Termination
You may stop using the service at any time and cancel your subscription as described in section 9. We may terminate a subscription with 30 days’ notice to the end of a billing period. Either party may terminate for good cause without notice. Good cause for us includes in particular serious or repeated breaches of section 4 or 10, fraud, and payment arrears of more than 30 days after notice.
After termination, we handle your data as described in our Data Processing Agreement. Provisions that by nature should survive termination will survive, including payment obligations, intellectual property, disclaimers, and liability limitations.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of the Federal Republic of Germany, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. Unless mandatory law requires otherwise, the exclusive place of jurisdiction for all disputes arising from or in connection with these Terms shall be Lützen, Saxony-Anhalt, Germany.
20. Changes to These Terms
We may update these Terms for valid reasons, such as changes to the service, the law or case law, or to close gaps. We will notify you of changes by email at least 30 days before they take effect. If you do not object before that date, the changes are considered accepted. We will point out this consequence and your right to object in the notice. If you object, either party may terminate the subscription with effect from the date the changes would take effect.
